CURRENT BYLAWS (INCORPORATING AMENDMENTS)
Article I GENERAL PROVISIONS
Section 1.1 Name: The name of this golf club shall be Cross Creek Women’s Club.
Section 1. 2 Purpose: The principal purposes shall be:
- To stimulate interest in golf at the Cross Creek Golf Course bringing together a group of women golfers desirous of forming a golfing organization.
- To encourage conformance to the USGA Rules of Golf and to maintain a uniform system of handicapping as set forth in the USGA Handicap System.
- The promotion of organized play in competitions within the guidelines of the Oregon Golf Association and the rules of play of the U.S.G.A.
Section 1.3 Fiscal Year: The fiscal year for the club will be January 1 through December 31 each year.
Article 2 MEMBERSHIP
Section 2.1 Available: Membership shall be available to all women. There shall be a least 10 members with a maximum membership of 100. Membership with the Cross Creek Women’s Club includes membership in the OGA.
Section 2.2 Dues: The dollar amount of annual dues shall be fixed yearly at the Annual Meeting in such amounts as members deem to be adequate to operate and maintain the club and may vary from year to year. Annual OGA dues and club dues will be due and payable to the Club on or before March 1st of each year. All monies collected shall accrue to the benefit of the membership.
Section 2.3 Associates: Members who pay their OGA dues through another club may pay associate dues to the Cross Creek Women’s Club. They will then be full members of the Cross Creek Women’s Club with all the same rights and responsibilities as those who pay OGA membership directly through Cross Creek Women’s Club.
Article 3 MEETINGS
Section 3.1 Schedule of Meetings: The annual meeting of the Cross Creek Women’s Golf Club shall be held on the first Monday in the month of October. Officers elected at that meeting will preside over the season kick-off meeting held the first Monday in the month of May. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable, and they shall call special meetings upon written petition signed by not less than twenty percent of the membership.
Section 3.2 Quorum: A legal quorum at any meeting shall require forty percent of members be present in person or by proxy. Each active member in good standing shall be entitled to one vote.
Article 4 BOARD OF DIRECTORS AND OFFICERS
Section 4.1 Board of Directors: Control and management of the Women’s Club shall be vested in a Board of Directors with a quorum of its meetings to be no less than 3 members. The Board of Directors shall consist of the officers and two at large members elected at the annual meeting
Section 4.2 Officers: The officers shall consist of President, Secretary, and Treasurer. The elected officers shall perform the duties provided in this section and such other duties as prescribed by the Board of Directors or by the President. The terms of office shall be for two years and no officer may serve more than two terms consecutively. To enable continuity in leadership, the President and at large members shall be elected in odd numbered years and the Secretary and Treasurer shall be elected in even numbered years.
Section 4.3 Voting: Voting shall be by written ballot at the Annual Meeting. Members not present at the Annual Meeting will have the opportunity to submit written ballots to the Nominating Committee prior to the meeting. Those names receiving the greatest number of votes cast shall be declared to be elected and will assume duties on the first of January the following year. Any disputes regarding the election will be referred to a committee of three members who are not members of the Board or candidates for election.
Section 4.4 Vacancies: In the case of any vacancy through death, resignation, disqualification or other cause, the remaining directors, even if less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of her successor.
Section 4.5 Duties of the President: The President shall (1) preside at all meetings of the Club; (2) appoint the chairmen and members of all Standing and Special Committees; (3) be authorized to sign checks; (4) monthly review and initial the club’s bank statement; and (5) be the Club’s official spokesperson with the General Manager of Cross Creek Golf Course as needed.
Section 4.6 Duties of the Secretary: The Secretary shall (1) perform the duties of the president in her absence; (2) maintain a record of all meetings of the Club and the Board of Directors; (3) maintain a current file of all club records, bylaws, and standing rules; (4) maintain a roster of members including e-mail, phone and mailing addresses; (5) communicate to members notices of all invitational tournaments sent to the club; and (6) provide ballots at the annual meeting for election of officers.
Section 4.7 The Treasurer shall (1) establish an account at a financial institution for Club funds; (2) be authorized to sign checks for club expenses; (3) present a written statement of finances at all Club meetings and, as directed, at meetings of the Board of Directors; and (4) make books available for audit when directed by the Board of Directors.
Article 5 COMMITTEES
The following committee chairs shall be appointed by the president each year, with such other committees as the president may deem necessary or advisable:
Section 5.1 Handicap Committee: The Handicap Committee shall (1) provide the communications link between the Women’s Club and the Oregon Golf Association (OGA) for all handicap related matters; (2) oversee the issuance of handicaps in compliance with the USGA standards; (3) ensure that Club members are educated on applicable topics of the USGA Handicap System; and (4) assess penalties or modify member’s USGA Handicap Indexes when warranted.
Section 5.2 Tournament Committee(s): Tournament Committee(s) shall arrange and schedule competitions for (1) the May opener tournament; (2) the October season finale; and (3) the Club Invitational.
Section 5.3 Day’s Play Committees: A Day’s Play Committee shall be appointed for planning nine hole play and a second committee shall be appointed if needed, for eighteen hole play. The Day’s Play Committee(s) shall (1) prepare a proposal for day’s play competitions and prize allocation for review and approval by the Board of Directors at least three weeks prior to the May meeting; (2) distribute the schedule of day’s play to all members; (3) provide instructions or special scorecards weekly as needed; (4) collect scorecards and determine winners each week; (5) post results of the week’s competition; and (6) distribute the day’s play prizes in cash one or more times throughout the season.
Section 5.4 Nominating Committee: At least five weeks prior to the Annual Meeting, the Board of Directors shall appoint a nominating committee consisting of three members of the organization. At least three weeks prior to the Annual Meeting, this committee shall submit to the Board and shall post upon the club bulletin board and email to all members a list of nominees to fill any vacancies for the term of office.
Article 6 DAY’S PLAY
Section 6.1 Fees: The fee to participate in the day’s play competition will be set at the annual meeting. The fees will be paid to the clubhouse and prizes will be paid as credits at the clubhouse.
Section 6.2 Prize allocation: The Board of Directors shall review the season’s day’s play schedule and approve proposed pay out allocation for planned games by points, gross score or net score.
Section 6.3 Guests. Any Club member may invite a guest to participate in a Day’s Play event providing that the guest has paid the appropriate greens fees. Said guests are not eligible to participate in the Day’s Play competition for prize monies.
Article 7 AMENDMENTS TO BY-LAWS
The Board of Directors shall have the power to repeal or amend any of these By-Laws provided that such action shall not be effective until approved by a majority vote of the members of the Cross Creek Women’s Golf Club at a meeting held in accordance with the provisions contained herein. Any member may submit a petition signed by at least ten other members to suggest repeal or amendment of any of these By-Laws.
